*GRIND MODE MEDIA & ITS SUBSIDIARIES TERMS AND CONDITIONS
 
The following terms and conditions set forth the legally binding terms for the use and access of all of *Grind Mode Media & its Subsidiaries’ content and services. By accessing or using *Grind Mode Media & its Subsidiaries’ content or services you (herby referred to as ‘member’ or ‘user’) agree to be bound by these conditions. Should you not agree with the terms and conditions you should discontinue access or use of *Grind Mode Media & its Subsidiaries’ content or services. *Grind Mode Media & its Subsidiaries reserves the right to alter these terms and conditions at its sole discretion and continued use of *Grind Mode Media & its Subsidiaries content or services constitutes an acceptance of these revised terms and conditions.
 
Unless otherwise specified, all content produced by *Grind Mode Media & its Subsidiaries including but not limited to; Grind Mode Magazine and for Grind Mode Connect.com social networking website are original works of owner and contributing affiliates of *Grind Mode Media & its Subsidiaries and may not be transferred or reproduced without the express permission from the *Grind Mode Media & its Subsidiaries management team.
 
*Grind Mode Media & its Subsidiaries makes every effort to ensure that all content provided by *Grind Mode Media & its Subsidiaries is accurate and factual and should this be found to not be the case, *Grind Mode Media & its Subsidiaries will make every effort to rectify the problem at the earliest opportunity. *Grind Mode Media & its Subsidiaries, however, shall not be held liable for any content that is found to be inaccurate or for any damage, loss or injury resulting from the accessing or use of any material or service provided by *Grind Mode Media & its Subsidiaries.

Any information obtained through registration will not be sold to third parties by *Grind Mode Media & its Subsidiaries, but *Grind Mode Media & its Subsidiaries reserves the right to use information for its own promotional activities and communications. *Grind Mode Media & its Subsidiaries reserves the right to disclose user information as required by law and should *Grind Mode Media & its Subsidiaries believe that such disclosure is necessary to protect our rights and / or top comply with a judicial proceeding, court order or legal process. www.grindmodeconnect.com, does, however, reserve the right, as homage to its users for being dedicated Grindmodeconnect.com site goers, to feature them in Grind Mode Magazine (www.grindmodemag.com), in the Grindmodeconnect.com Grinder's spotlight, which features chosen users in the magazine.  Members will not be forewarned of this, but will be chosen, and pictures from individual selected photo gallery may be used only for the purpose of spotlighting its members/users.
 
The use or accessing of any *Grind Mode Media & its Subsidiaries content or service does not in any way mean that you are affiliated with *Grind Mode Media & its Subsidiaries and we will not be held responsible for any misuse or offense that arises from third party use or accessing of content or services.
 
 Eligibility:
 
1. Use and membership of *Grind Mode Media & its Subsidiaries requires that any registration information is truthful and accurate and that the accuracy of said information will be maintained by the user.
 
2. In the use of content or services provided by *Grind Mode Media & its Subsidiaries you shall not violate any applicable law or regulation.
 
3. Due to occasional adult themed content you must be at least 15 years of age to access *Grind Mode Media & its Subsidiaries’ content. Should *Grind Mode Media & its Subsidiaries find that you are under 15 years of age your membership and access will be terminated. The use of chat rooms where applicable, is exclusively for those over 18 years of age. The use of grindmodeconnect.com by those between 15 and 18 years of age is restricted to those who have the express permission of their parents or guardians—NO EXCEPTIONS.
 
Term:
 
This agreement will remain in force for the duration of your use of services and content. You may terminate your use and / or membership of *Grind Mode Media & its Subsidiaries and related content at any time. *Grind Mode Media & its Subsidiaries reserves the right to terminate your membership or use of our services or content at any time without prior notice. Following termination of the service you will still be bound to the terms of this agreement.
 
Fees and cost:
 
*Grind Mode Media & its Subsidiaries reserves the right to charge for the use of its services at its discretion. No refund will be permitted to those whose use or membership has been terminated by *Grind Mode Media & its Subsidiaries. The user is liable for any applicable taxes for hardware. Software, service and any other costs you may incur in connection with the use or access of *Grind Mode Media & its Subsidiaries.
 
Password:
 
The confidentiality of any passwords use to access or use *Grind Mode Media & its Subsidiaries material is your sole responsibility and you agree not to use the name, password or any other details relating to that of another user at any time. You are solely responsible for your use and access of *Grind Mode Media & its Subsidiaries content and services and *Grind Mode Media & its Subsidiaries will not be held responsible for any problems stemming from the breaking of this agreement.
 
Use of service:
 
Content and services are intended for the personal use of members only and may not be used for commercial endeavors other than those sanctioned by *Grind Mode Media & its Subsidiaries. Illegal use of services, content and information is prohibited. Commercial advertisements, links and other solicitations may be removed from profiles without notice and may result in the termination of membership. Appropriate legal action will be taken for misuse of services by users.
 
*Grind Mode Media & its Subsidiaries content and services are provided for users to build relationships as part of a community of like-minded users and not for exploitation. If you cannot adhere to the rules of use you should end your use and accessing of the services and content that is provided immediately.
 
Ownership:
 
*Grind Mode Media & its Subsidiaries does not claim ownership or responsibility for text, images, photos, video, sounds or any other materials posted by users. Any content posted to *Grind Mode Media & its Subsidiaries by users remains the province of the user that posted it. *Grind Mode Media & its Subsidiaries reserves the right to limited use of any content posted by users for performance, modification, public display, reproduction and distribution through *Grind Mode Media & its Subsidiaries’ services.
This right to limited use of content is to allow *Grind Mode Media & its Subsidiaries to continue to provide services. Without such an agreement *Grind Mode Media & its Subsidiaries would be unable, for example, to compress music files to satisfy technical needs while without public performance requirements *Grind Mode Media & its Subsidiaries would be unable to allow other members to access and listen to music posted to *Grind Mode Media & its Subsidiaries. This agreement is not exclusive (you can license your content to anyone else alongside *Grind Mode Media & its Subsidiaries), royalty free (*Grind Mode Media & its Subsidiaries is not required to pay you for the use of content that you post), sub licensable (So *Grind Mode Media & its Subsidiaries can use affiliates such as delivery networks to provide services) and worldwide. This agreement will terminate once the content is removed from *Grind Mode Media & its Subsidiaries. This agreement does not give *Grind Mode Media & its Subsidiaries the right to sell your content or distribute it outside of *Grind Mode Media & its Subsidiaries’ services.
 
All users confirm and warrant that they own content posted on or through *Grind Mode Media & its Subsidiaries or have the right to grant license to post said material. The posting of content should not violate the privacy rights, publicity rights, copyright, contract rights or any other rights of another person. You agree to pay any royalties, fees and other monies owing to another person for reason of your posting of content to *Grind Mode Media & its Subsidiaries.
 
*Grind Mode Media & its Subsidiaries content and services remain under the ownership of *Grind Mode Media & its Subsidiaries although *Grind Mode Media & its Subsidiaries grants the limited right for users to reproduce and display *Grind Mode Media & its Subsidiaries content solely for the purposes of using or accessing said content. You may not modify, copy, publish, transmit, distribute, sell, perform or any other way misuse content posted by *Grind Mode Media & its Subsidiaries without the express permission of the management team.
 
Content:
 
*Grind Mode Media & its Subsidiaries reserves the right to delete any content that in *Grind Mode Media & its Subsidiaries’ sole judgment is deemed offensive, illegal or violates the rights, harms or threatens the safety of another person. *Grind Mode Media & its Subsidiaries assumes no responsibility for the monitoring or removal of content that it deems inappropriate or conduct that is deemed by *Grind Mode Media & its Subsidiaries to break the terms of this agreement, although *Grind Mode Media & its Subsidiaries reserves the right to such monitoring and removal at its discretion. 
 
You are solely responsible for any content that is posted on or through the use of *Grind Mode Media & its Subsidiaries. *Grind Mode Media & its Subsidiaries does not endorse or have control of content posted by users and any content does not necessarily reflect the opinion or policy of *Grind Mode Media & its Subsidiaries. *Grind Mode Media & its Subsidiaries makes no warranties for the accuracy or reliability of content posted on or through its services.
 
Editorials, reviews and other material posted by *Grind Mode Media & its Subsidiaries are deemed ‘opinion only’ and *Grind Mode Media & its Subsidiaries shall under no circumstances be held liable for the opinions expressed therein, in accordance to Freedom of Speech. 
 
Advertising content are the sole responsibility of the advertisers and *Grind Mode Media & its Subsidiaries will not be held liable for the content, but will do their best to make sure that content is acceptable.
 
All competitions and specials are the sole responsibility of its owners and creators of the contests and while *Grind Mode Media & its Subsidiaries will do everything in their power to ensure these are screened appropriately they will not be held liable for inconvenience, damage or other difficulty that arises from participation in any contest. All material is to be rendered by the owner of the competition or the special, and *Grind Mode Media & its Subsidiaries will not be bound to supply any materials to anyone—so if you have entered a *Grind Mode Media & its Subsidiaries contest or special, then you will have to take up any problems with the company or individual who has implemented the contest or special.
 
Prohibited activity and content:
 
The following is list is not exhaustive and provides guidelines for content or activity that is prohibited by *Grind Mode Media & its Subsidiaries. *Grind Mode Media & its Subsidiaries reserves the right to investigate and take legal action against persons who, in *Grind Mode Media & its Subsidiaries’ sole judgment, is believed to be in violation of this provision. Prohibited content is inclusive of but not limited to that, which in the sole judgment of *Grind Mode Media & its Subsidiaries:
 
1. Is patently offensive and promotes bigotry, racism, hatred or harm whether physical or mental against any group or individual.
 
2. Advocates the harassment or harasses any group or person.
 
3. Is sexually or violently exploitative.
 
4. Contains nudity, violence or offensive content or links to a site that is adult in content or relates to offensive content.
 
5. Solicits personal information from anyone under the age of 18.
 
6. Provides personal details including email addresses, postal addresses or telephone numbers.
 
7. Promotes false, illegal, abusive, threatening obscene or libelous information.
 
8. Promotes the illegal use or copying of any person’s copyrighted work.
 
9. Involves the sending of junk mail, chain letters or any other type of unsolicited mass mailing including ‘spamming.’
 
10. Contains restricted or password protected material.
 
11. Promotes or furthers any criminal activity.
 
12. Involves commercial activities such as sales, advertising, pyramid schemes or contests without consent from the *Grind Mode Media & its Subsidiaries management team.
 
13. Includes photographs or images posted without subject’s consent.
 
14. Uses misleading or deceptive content to draw attention to the content posted by a user.
 
15. The sending of harmful files.
 
16. Covering or obscuring banner advertisements on your or any other page.
 
17. Any automated use of the *Grind Mode Media & its Subsidiaries system.
 
18. Creating unnecessary burden or interference with the *Grind Mode Media & its Subsidiaries systems.
 
19. Impersonating another user, member, employee of *Grind Mode Media & its Subsidiaries or any other person.
 
20. Selling or transferring of your profile.
 
21. Using any information gained from *Grind Mode Media & its Subsidiaries to harass, abuse or in any way harm another person.
 
22. Using *Grind Mode Media & its Subsidiaries to gain significant payment for any service or performance of a commercial nature.
 
23. Using *Grind Mode Media & its Subsidiaries or its services in a manner that violates any applicable laws and regulations.
 
Copyright:
 
You may not modify, distribute, sell or in any way reproduce and copyrighted material or content without the consent of the owners of said material, including content created and posted by *Grind Mode Media & its Subsidiaries. 
 
Disputes:
 
It is not the responsibility of *Grind Mode Media & its Subsidiaries to intervene or monitor any disputes that arise between users.
 
Disclaimer:

Indemnity:
 
You agree to hold *Grind Mode Media & its Subsidiaries, its subsidiaries, affiliates, officers, agents, partners and employees harmless from any loss, liability, claim or demand resulting from or arising from the use of *Grind Mode Media & its Subsidiaries content and services including those posted by other users or outside agencies. 
 
Acceptance:
 
This agreement is accepted in full upon the use or accessing of *Grind Mode Media & its Subsidiaries content or services. This agreement constitutes the entire agreement between you and *Grind Mode Media & its Subsidiaries. The failure of *Grind Mode Media & its Subsidiaries to exercise or enforce any right of provision of this agreement shall not create a waiver of your agreement with *Grind Mode Media & its Subsidiaries. The sections in this agreement are for ease of understanding and should any provision be found to be unlawful or unenforceable it shall be deemed severable and replaced with a valid and enforceable provision that approximates as closely as possible the original provision, this has no effect on the validity or enforceability of any remaining part of this agreement.
While *Grind Mode Media & its Subsidiaries is not liable for the monitoring of content and misuse should you believe there are activities that are in violation of the terms of service you can contact suspicions@grindmodeconnect.com  or suspicions@grindmodemedia.com, and put in the subject line, 'SUSPICIONS.' *Grind Mode Media & its Subsidiaries reserves the right to investigate any claims made by users but is not bound by agreement to do so. 
 
Please enjoy yourselves using *Grind Mode Media & its Subsidiaries services and offerings, but please do not abuse their kindness. Grind Mode Media & its Subsidiaries promote safety and good well being for all mankind. 
 
I HAVE READ THIS AGREEMENT AND AGREE TO ALL OF THE PROVISIONS CONTAINED ABOVE.
